NC Horticultural Council
By-Laws
As Amended March 1985
- ARTICLE I. Purposes and Powers
- The purpose for which this Council is formed and the powers which it may exercise are set forth in the Articles of Incorporation of the Council.
- ARTICLE II. Membership and Dues
- The membership of this organization shall be active. All dues are payable to the treasurer of the Council. The secretary shall keep a list of all members.
- Section 1. Members shall consist of the president of any organization that represents horticultural interest and/or his designees.
- Section 2. Ex-officio members shall be: Executive-secretaries of member groups, Head of the Department of Horticultural Science, North Carolina State University, and professional workers involved with commodities represented by the member groups and/or those persons appointed by the Executive Committee of the Council.
- ARTICLE III.
Officers
- The officers shall consist of a present, a first vice-president, a second vice-president, a secretary and a treasurer. Not more than one officer shall be elected from each of the member organizations. Ex-officio member of the Executive Committee will be the Head of the Department of Horticultural Science, North Carolina State University or his designees.
- Duties of Officers
- President. It shall be the duty of the president to preside at meetings, to call such meetings as are required by the by-laws, and otherwise carry on such duties as belong to the president of an organization.
- Vice-President. It shall be the duty of the vice-presidents, as designated by the president, to preside at meetings in the absence of the president, and to assume any responsibilities delegated to them by the president.
- Secretary and Treasurer. It shall be the duty of the secretary to keep the minutes of the meetings, maintain the membership roll, and send out notices and information as shall be requested by the organization. It shall be the duty of the treasurer to collect funds indicated, keep the books of the organization, and make disbursements upon the approval of the Executive Committee.
- Executive Committee. The executive committee shall consist of the president, vice-presidents, secretary and treasurer plus any additional members appointed by the president. The executive committee shall act in the name of the Council. The executive committee shall have power to appoint an executive-secretary to assist the secretary and treasurer in their duties.
- ARTICLE IV. Elections
- The president, vice-presidents, secretary and treasurer shall be elected at the annual meeting of the Council. Their terms of office shall begin immediately following the meeting at which the election is held, and continue for a period of one year, or until their successor is duly elected. No officer with the exception of the secretary or treasurer may serve more than two (2) consecutive terms.
- ARTICLE V. Voting
- The delegation from each affiliated organization or group shall have one vote. All action by the Council must be approved by two-thirds of the voting members present.
- ARTICLE VI. Amendments
- The Articles of Incorporation may be amended at any meeting of the Council buy two-thirds vote provided notice of such proposed amendment is given to all Council members at least fifteen (15) days prior to the date of the meeting at which change is to be considered.
- ARTICLE VII. Meetings
- Meetings of the Council shall be held as often as necessary to conduct the business of the organization but not less than annually. Meetings may be called by the president or upon the request of three (3) or more of the member organization. Attendance at meetings shall be limited to duly appointed members, except the ex-officio members may be appointed a designee. All others shall be present by invitation of the Executive Committee of the entire Council. Requests for such invitation shall be directed to the president of the Council.
- ARTICLE VIII. Amendments
- These by-laws may be amended at any meeting of the Council by two-thirds vote provided the membership is notified as provided in Article VI.
